The President, CEO, and COO of a company report directly to the
board of directors. The board of directors is responsible for the overall
strategy and direction of the company.
Other members of Executive Management may report directly to the
board of directors depending on the size and structure of the company.
The board of directors may also delegate responsibility to other
committees such as the Audit Committee, Compensation Committee, and
Nominating and Governance Committee.

The CTO is responsible for the company's technology strategy. They develop and implement new technologies, oversee research and development, and manage information technology. The General Counsel is responsible for the legal affairs of the company. They provide advice on compliance, contracts, litigation, and regulations.
These are just a few examples of roles that report directly to the Board of Directors. Depending on the size and structure of the company, there may be many other roles that report directly to the Board.
